Agreement to terms

These Terms of Service ("Terms") govern your access to and use of Blackline Systems' website, software platform, and related services (together, the "Services"), provided by Blackline Systems ("we," "us," or "our"), based in Los Angeles, California. By using our Services, you agree to these Terms. If you don't agree, please don't use the Services.

Description of the services

Blackline Systems provides marketing agency services — including lead generation, sales funnels, website builds, Google and Meta ad management, and SEO — along with a marketing software platform (CRM, marketing, automations, sales, calendars, and support tools) made available to clients.

Subscriptions & billing

• Plans are billed monthly or annually, as selected at checkout, through our payment processor, Stripe.
• New subscriptions include a 14-day free trial. You won't be charged until the trial ends.
• Subscriptions automatically renew each billing period unless cancelled before the renewal date.
• You may cancel at any time; cancellation stops future billing but does not refund the current billing period unless required by law.
• Emailing, calling, and SMS/text usage inside the platform is billed separately based on actual usage, in addition to your plan price.
• We may change our pricing going forward; we'll give you reasonable notice before any change applies to your subscription.

Acceptable use

You agree to use the Services lawfully and not to: violate any applicable law; send unsolicited or unlawful communications (including spam) through the platform; attempt to interfere with or disrupt the Services; or use the Services to harm, defraud, or mislead others.

Your content & accounts

You're responsible for the accuracy of information you provide, for keeping your account credentials secure, and for the marketing content, contacts, and automations you create or upload using the platform.

Intellectual property

The Blackline Systems platform, website, and branding are our property (or licensed to us) and are protected by intellectual property laws. These Terms don't grant you any ownership rights in our software — only the right to use it as part of an active subscription.

Done-for-you services

For website, advertising, and SEO services performed on your behalf, timelines, deliverables, and any service-specific terms will be confirmed directly with you (for example, during a sales call) before work begins.

Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied. We don't guarantee specific business results, rankings, lead volume, or revenue from use of the Services.

Limitation of liability

To the fullest extent permitted by law, Blackline Systems will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the amount you paid us in the 3 months before the claim arose.

Termination

We may suspend or terminate access to the Services for violation of these Terms or non-payment. You may stop using the Services and cancel your subscription at any time.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.

Changes to these terms

We may update these Terms from time to time. Continued use of the Services after an update means you accept the revised Terms.
